Terms and Conditions

Please read these terms carefully. By using the platform, you agree to be legally bound by these conditions.

Important Notice: This agreement contains limitations of liability (sections 8–9) and an indemnity clause (section 10). Please read these sections carefully before using the platform.

Utilities Grid Pte Ltd operates a web and mobile platform connecting construction industry stakeholders for LCDW services, NCE applications/approvals, and historical data access including Trial Trench Photographs. This agreement constitutes a binding contract governing platform access and service use.

1. Terms of Use

1.1 These provisions govern platform access and constitute a binding agreement. The company reserves the right to modify terms with notice; continued use constitutes acceptance.
1.2 Users receive a revocable, non-exclusive, non-transferable license conditional on compliance with these terms.
1.3 Account registration requires mandatory and voluntary information, with confirmation that all account users comply with terms.
1.4 Users maintain account confidentiality and are responsible for all account activities. All actions through the account are deemed the user's actions.
1.5 The company reserves the right to refuse access, suspend accounts, or remove/edit content without notice at its sole discretion.
1.6 The company reserves the right to change, modify, suspend, or discontinue services at any time. Users acknowledge potential interruptions and technical difficulties.
1.7 Users cannot use the platform to advertise, promote, or sell third-party products/services without written permission.
1.8 Additional terms apply: the Acceptable Use Policy governs permitted and prohibited uses. The Privacy Policy addresses personal data collection compliant with the Personal Data Protection Act 2012.

2. Scope of Platform

2.1 The platform connects construction contractors seeking LCDW and TCDW services. The company supplies neither goods nor services; Suppliers sell directly to Customers.
2.2 Customers and Suppliers bear sole responsibility for contract performance. Parties seek recourse directly against contract counterparties.
2.3 The company retains the right to investigate complaints regarding platform use or suspected unlawful activity and take appropriate action.

3. Fees

3.1 The company charges Service Fees to Customers at rates communicated via the platform, calculated on total contract amounts.
3.2 The company reserves the right to change Service Fees with reasonable advance notice. Changes are not retroactive.
3.3 Users are responsible for applicable taxes including goods and services tax.
3.4 Service Fees are non-refundable regardless of contract rescission, termination, or Supplier refunds.

4. Collection of Payments

4.1 All Customer payments occur via STRIPE. STRIPE provides gateway and payment services. The Third Party holds Contract Price and Service Fees until Customer acknowledges goods/services acceptance.
4.2 Users comply with platform and Third Party instructions regarding payment submission and fund release.
4.3 By registering and using STRIPE Services, Customer and Supplier enter agreements with the Third Party. STRIPE Terms of Service are incorporated by reference.
4.4 The company provides no payment processing and is not party to user-STRIPE agreements.
4.5 STRIPE Services usage incurs service/platform fees payable by Customer to the Third Party per STRIPE Terms.
4.6 Users agree to use STRIPE Services only for intended purposes and not for illegal/criminal purposes.

5. Uploading Content to Platform

5.1 Users represent and warrant that uploaded content complies with the Privacy Policy, Acceptable Use Policy, and PDPA.
5.2 Users are fully responsible for uploaded content. The company is not responsible for content accuracy or data loss.
5.3 The company uses uploaded content only for Services performance and expressly stated purposes.
5.4 The company has the right to disclose user identity to third parties claiming content violates their Singapore law rights.
5.5 The company has the right to delete content not complying with the Acceptable Use Policy content standards.

6. Restrictions

6.1 Users undertake not to reproduce, modify, adapt, translate, publish, display, transmit, sell, exploit, or use Services for commercial purposes outside contemplated Services; not to disassemble, decompile, or reverse-engineer the platform; not to disrupt, disable, or impair Services through hacking, cyber-attacks, denial-of-service attacks, or tampering.

7. Intellectual Property Rights

7.1 All platform intellectual property rights worldwide belong to the company. Rights are licensed, not sold.
7.2 User-uploaded content intellectual property rights remain with users. Users grant the company a royalty-free non-exclusive license for Services performance and internal use.
7.3 Users must not modify platform materials or use illustrations, photographs, video/audio sequences, or graphics separately from accompanying text.

8. Warranty

8.1 The company provides Services on an 'as is' and 'as available' basis. No express or implied warranties are made about operation.
8.2 The company makes no warranty regarding goods/services quality, condition, or fitness for any purpose.
8.3 The company disclaims all express and implied warranties including merchantability and fitness for purpose.

9. Limitation of Liability

9.1 Platform information relies solely on user-uploaded information. The company is not liable for completeness, accuracy, or correctness.
9.2 The company has no liability for loss of profit, sales, business, revenue, data, business opportunity, goodwill, or indirect/consequential damages.
9.3 Total company liability will not exceed total Service Fees paid during the preceding twelve months.
9.4 Nothing limits company liability for death/personal injury from negligence, fraud, or matters where applicable law prohibits liability limitation.

10. Indemnity

10.1 Users indemnify the company, directors, officers, employees, and agents against claims, losses, expenses, damages, costs, and reasonable legal fees arising from user acts, defaults, or omissions in platform use, including claims from contract performance or Third Party services use.

11. Other Important Terms

11.1 The platform may contain links to external websites. The company is not responsible for external content.
11.2 The company may transfer agreement rights and obligations to another organization without affecting user rights/obligations.
11.3 No joint venture, partnership, agency, or employment relationship arises from this agreement.
11.4 This agreement is governed by Singapore law. Disputes require good faith discussion within sixty days; unresolved disputes submit to exclusive Singapore courts jurisdiction.
11.5 Users agree not to solicit other user contact information for unrelated purposes or conduct platform-initiated transactions outside Utilities Grid applications.

Acceptable Use Policy

This policy governs account holders' platform access. Platform use constitutes acceptance of this policy.
Prohibited Uses: Platform use is only for lawful purposes. Prohibited activities include breaching applicable laws, unlawful/fraudulent activity, and transmitting viruses, Trojan horses, worms, or harmful programs.
Content Standards: All contributions must comply with Singapore law (particularly PDPA). Users ensure contributions are up-to-date, authentic, truthful, and accurate.
Contributions must not infringe third-party intellectual property; contain defamatory, obscene, offensive, or inflammatory material; be threatening, abusive, or privacy-invading; or impersonate persons or misrepresent identity.
Breach Consequences: Non-compliance constitutes a material terms breach and may result in immediate use right withdrawal, contribution removal, warning issuance, legal proceedings, or further legal action.
